Terms, Conditions & Graphic Design Commissioned Work Agreement

Effective 2026 — State of Florida

This Commissioned Work Agreement (“AGREEMENT”) is entered into by TLZ Design Group, LLC. (“DESIGNER”) and the undersigned client (“CLIENT”). By proceeding with payment — whether in full or as a deposit — CLIENT acknowledges having read, understood, and agreed to all terms and conditions set forth in this Agreement. No physical signature is required; payment constitutes full acceptance.

1. Scope of Work & Fees

Fees are based on a fixed cost as outlined in the project proposal or invoice. Should the scope change after agreement, TLZ Design Group, LLC. will issue a formal scope change document defining additional work and associated costs.

  • If a project is placed on hold by the CLIENT, or if timeline is extended beyond the agreed schedule due to CLIENT delays, an additional 20% will be added to the remaining balance and the project will be rescheduled upon a new agreement.

  • Additional changes outside the agreed scope will be billed at an hourly rate of $90.00 (ninety dollars) per hour.

  • Third-party costs (stock photos, photography, fonts, icons, licensed images) are not included and will be added as separate fees upon CLIENT agreement.

2. Payment Terms

Payment terms are outlined in each project proposal and invoice. A deposit may be required before work begins. All payment schedules — whether full payment upfront, 50/50 split, or installment plan — will be agreed upon in writing prior to project start.

  • No refunds will be provided once work has begun.

  • Payment plans are available upon request and must be agreed upon before work commences.

  • This Agreement is valid for up to 4 months from the date of the proposal. Projects exceeding this timeframe due to CLIENT delays will incur an additional 20% to reopen and reschedule.

3. Revisions

The number of included revision rounds is specified in each individual project proposal or invoice. Revisions beyond the agreed scope will be billed at the hourly rate of $90.00 per hour.

  • Revision requests must be submitted in a single consolidated communication per round. Piecemeal revision requests may be counted as separate rounds.

4. Timelines & Scheduling

Upon project start, CLIENT is placed in a production schedule alongside other active projects. Turnaround times vary depending on scope, complexity, and communication responsiveness, ranging from 2 days to several weeks.

  • A project schedule will be created with up to 15 days of built-in flexibility for file exchanges or minor adjustments.

  • Timely CLIENT responses and content delivery are essential to keeping the project on schedule. Delays on the CLIENT’s end may result in rescheduling and additional fees.

5. Cancellation

In the event of project cancellation, fees will be assessed based on the amount of work completed at the time of cancellation notification.

  • Upon cancellation, all rights to project designs, concepts, and original artwork revert exclusively to TLZ Design Group LLC.

6. File Delivery & Native Files

Final deliverables are provided in production-ready formats appropriate to the project’s intended use:

  • Logos: Illustrator files, PDF, vector art, JPG, PNG

  • All other items: PDF, JPG, PNG, PowerPoint presentations, or layered PSDs as appropriate

  • Native working files (InDesign, Illustrator, PSD) are not included in standard deliverables. Native files may be provided under a separate written agreement at an additional cost of 20% per piece.

  • Preliminary sketches, rough drafts, and unused concepts remain the property of TLZ Design Group LLC. and are not part of final delivery.

7. Content & Copywriting

Content development (copy, text, written materials) is not included in the scope unless specifically stated. Professional copywriting services are available upon request and will be quoted separately.

8. Copyright & Ownership

Upon receipt of full payment, all rights, copyrights, title, and interest in the final delivered artwork belong solely and exclusively to the CLIENT, free from any claims by TLZ Design Group, LLC.

  • This Agreement constitutes a full release of copyright for the CLIENT to duplicate and use the work freely as needed.

  • TLZ Design Group, LLC. / Sabrina Fajardo reserves the right to use completed work for self-promotion and portfolio display, upon providing written notification to the CLIENT.

9. CLIENT Indemnification

CLIENT agrees to indemnify and hold TLZ Design Group, LLC. harmless against any and all claims, costs, and expenses arising from the use of materials provided by CLIENT that may violate privacy rights, copyright, or other intellectual property claims.

10. Confidentiality

TLZ Design Group, LLC. shall not disclose any of CLIENT’s confidential information to any third party without prior written permission from the CLIENT.

11. Governing Law

This Agreement is entered into in the State of Florida and is governed by the laws of that state.

12. Agreement & Acceptance

By proceeding with payment — whether a deposit or full payment — CLIENT confirms they have read, understood, and agreed to all terms outlined in this Agreement. No physical signature is required unless specifically requested for larger scope projects.
